1. About These Terms
These Terms & Conditions apply to goods supplied by Beava Direct Ltd (“Beava Direct”, “we”, “us” or “the Supplier”), registered in England and Wales under company number 16215281, whose trading address is Unit 3 Ravens Park, Victoria Road, Seacroft, Leeds, LS14 2LA.
The person, company, partnership or other organisation purchasing goods from us is referred to as “the Customer”.
By placing an order with us, the Customer agrees that the order is subject to these Terms & Conditions unless otherwise agreed by us in writing.
Where a Customer has an approved Beava Direct credit account, these Terms & Conditions apply together with the Credit Account Terms & Conditions accepted by that Customer. Where there is any conflict specifically relating to credit limits, payment terms, overdue accounts or credit facilities, the agreed Credit Account Terms & Conditions will take precedence.
2. Orders
All orders are subject to acceptance by Beava Direct.
We reserve the right to decline or hold an order where goods are unavailable, a credit account is overdue, a credit limit would be exceeded, or for another reasonable commercial reason.
The Customer is responsible for ensuring that the products, quantities, delivery details and other information provided when placing an order are correct.
3. Prices & Payment
Unless otherwise agreed in writing, goods will be supplied at the prices applicable when the order is placed or, for trade/account orders placed other than through the website, at the price applicable at the date of despatch.
Prices exclude VAT unless expressly stated otherwise.
Payment in full is required before despatch unless the Customer has an approved Beava Direct credit account or alternative arrangements have been agreed by us in writing.
Customers with an approved credit account must make payment in accordance with the payment terms agreed with Beava Direct.
We may review, reduce, suspend or withdraw a credit facility where reasonably necessary and may require payment before despatch where an account is overdue, its credit limit has been exceeded, or we have reasonable concerns regarding creditworthiness.
For business-to-business transactions, we reserve the right to charge statutory interest and applicable recovery costs on overdue commercial debts.
4. Carriage & Delivery
Our standard UK mainland carriage-paid order value is £150 excluding VAT. Orders below this value are subject to our current carriage charge, presently £9.99 excluding VAT.
Additional charges may apply to the Scottish Highlands, Northern Ireland, offshore islands and other non-standard delivery areas.
We currently offer next-working-day delivery on qualifying orders placed before 3:00pm. This service is subject to stock availability, delivery location, carrier availability and circumstances outside our reasonable control and is not guaranteed unless specifically agreed by us in writing.
Delivery dates and times given are estimates unless expressly agreed otherwise in writing.
The Customer must provide suitable access and facilities for delivery.
5. Risk & Title
Risk in the goods passes to the Customer upon delivery.
For Customers purchasing on an approved credit account, title to the goods remains with Beava Direct until payment in full has been received for those goods.
Until title passes, the Customer must take reasonable care of the goods and, where reasonably practicable, keep them identifiable as goods supplied by Beava Direct.
Where payment is overdue and title has not passed, Beava Direct may exercise any lawful rights available to recover the goods.
6. Availability & Product Substitution
All goods are subject to availability.
If an ordered product is unavailable, we may offer a suitable alternative product or advise the Customer of the expected availability.
We will not supply a materially different substitute without the Customer's agreement.
If an alternative is not acceptable and payment has already been made, we will refund the amount paid for the unavailable goods. Where goods have been invoiced to a credit account, an appropriate credit will be issued.
7. Quantities & Packaging
Beava Direct will supply the quantity of packs, boxes or units ordered and accepted.
Certain products are manufactured or packed by weight. Where a manufacturer's pack states an approximate number of individual pieces, the actual number contained within that pack may vary slightly.
We cannot guarantee the exact number of individual pieces within manufacturer-packed products where the contents are determined by weight, provided that the correct number of packs, boxes or units ordered has been supplied.
Product dimensions and measurements stated as approximate are subject to normal manufacturing tolerances.
8. Product Specifications
We make reasonable efforts to ensure product descriptions, photographs, dimensions and specifications are accurate.
Product packaging, appearance, dimensions or specifications may occasionally change due to manufacturer changes or product improvements.
Images on the website are for illustrative purposes and colours or appearance may vary slightly from the actual product.
Where a product has been superseded, we may offer a suitable equivalent but will notify the Customer where the difference is material.
9. Shortages, Transit Damage & Picking Errors
Customers should inspect goods promptly following delivery.
Visible transit damage or shortages should be reported to Beava Direct within 24 hours of delivery, where reasonably practicable.
Picking errors should be reported within 3 working days of delivery.
Where possible, photographs of damaged goods and their packaging should be provided to assist us in investigating a claim.
The Customer should retain the affected goods and packaging while the matter is being investigated.
These notification periods do not affect any rights or remedies which cannot lawfully be excluded.
10. Faulty Goods
The Customer should notify Beava Direct of faulty goods within 3 working days of discovering the fault, where reasonably practicable.
We may request photographs, other reasonable evidence of the fault, or return of the goods for inspection.
Where goods are found to be defective, we will, as appropriate, repair, replace or credit/refund the affected goods.
Nothing in these Terms & Conditions excludes rights or remedies which cannot lawfully be excluded.
11. Returns – Business Customers
Business Customers wishing to return unwanted goods must request a return within 10 working days of delivery.
Returns are subject to prior approval by Beava Direct and goods must be unused, resaleable and, where applicable, in their original packaging.
Goods supplied in full boxes or pack quantities must normally be returned in the same full-box or pack quantities.
Beava Direct reserves the right to apply a 20% handling and restocking charge to accepted returns of unwanted goods.
Special-order, bespoke or non-stock goods are non-returnable unless defective or otherwise agreed by us.
The cost of returning unwanted goods is the Customer's responsibility unless otherwise agreed.
A Beava Direct returns or collection reference may be required before goods are returned.
12. Consumer Customers
If you purchase goods from Beava Direct wholly or mainly outside your trade, business, craft or profession, you may have additional statutory rights as a consumer.
Nothing in these Terms & Conditions is intended to restrict or exclude any consumer rights which cannot legally be restricted or excluded.
Where applicable, statutory consumer cancellation, refund and other rights will take precedence over any conflicting provision in these Terms & Conditions.
13. Liability
Nothing in these Terms & Conditions excludes or limits our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation.
Subject to the above, and to the extent permitted by law, Beava Direct will not be liable for indirect or consequential losses arising from the supply of goods.
14. Suspension & Termination
We may suspend an account, further orders or deliveries where:
the Customer has overdue invoices; the Customer has exceeded its approved credit limit; the Customer is in material breach of its obligations to us; or we reasonably believe there is an increased credit risk.
Where amounts are overdue, we reserve all rights available to us for recovery of those sums.
15. Events Outside Our Control
We will not be liable for a failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control, including carrier disruption, strikes, industrial disputes, severe weather, natural disasters, interruption of transport or utilities, government action, import delays or other events which we could not reasonably prevent.
16. Website Content & Intellectual Property
Unless otherwise stated, website content including photographs, drawings, graphics, product information, part numbers, layout and branding is owned by or licensed to Beava Direct Ltd.
Such content may not be reproduced for commercial purposes without our prior written permission.
Third-party trademarks remain the property of their respective owners.
17. Customer Feedback & Reviews
We may contact Customers following an order to request feedback or a product review.
Customers may opt out of marketing or review communications using the unsubscribe facility provided or by contacting us.
18. General
If any provision of these Terms & Conditions is found to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect.
A failure or delay by Beava Direct in exercising any right under these terms does not constitute a waiver of that right.
Any variation to these Terms & Conditions must be agreed by Beava Direct in writing.
19. Governing Law
These Terms & Conditions and contracts for the supply of goods by Beava Direct are governed by the laws of England and Wales.
The courts of England and Wales shall have jurisdiction, subject to any mandatory rights applicable to consumers.
